1. Acceptance of Terms
By accessing or using the services provided by Statey, a product of Vaalies, Inc. ("we", "us", or "our"), incorporated in Delaware, USA, you agree to comply with and be bound by these Terms of Service.
2. Description of Service
Statey is a third-party application or plugin for Xero that provides automated and enhanced customer statements. We synchronise organisational and contact data from Xero, such as transaction and account information, to provide our service.
3. Registration and User Accounts
To use Statey, you must register and create an account through Xero's authentication process. Your Statey account will mirror the permissions and roles set in Xero. We collect user and organisation data from Xero to facilitate our services.
4. Payment
Payments are processed via Stripe. We accept Visa, Mastercard, American Express, Discover, Diners Club, JCB, Apple Pay, and Google Pay. We offer a 15-day refund policy on our subscription plans. Refund details for unused services under monthly plans are outlined in our policy. Users will be notified of failed payments, and accounts may be suspended or terminated for non-payment as specified.
5. User Obligations
Users agree not to use the service for any illegal or unauthorised purpose. Violation of this term may result in immediate termination of your account.
6. Termination
We reserve the right to terminate or suspend user accounts at our discretion. Users will be notified via email at least 15 days prior to any such action.
7. Data Protection & Privacy
Statey processes personal data on behalf of customers in accordance with its Data Processing Addendum (DPA), which is incorporated by reference into these Terms of Service and applies automatically to all customers.

8. Standardised Service
Statey is a standardised, self-service SaaS product. Statey does not enter into bespoke supplier agreements, customer-drafted contracts, or customised data processing terms.
9. Limitation of Liability
While we strive to provide the best service possible, unforeseen issues can arise. Please know that Vaalies, Inc., its employees, and its service Statey cannot be held responsible for any damages or losses you might incur while using our platform.
10. Intellectual Property
All rights, title, and interest in and to the Statey website, technology, and branding belong to Vaalies, Inc. Data synced from Xero, including content generated by users and organisations within Statey, remains the property of the respective users and organisations. We respect and recognise your ownership rights, and we will delete your data upon request.
11. Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the state of Delaware, USA.
12. Dispute Resolution

13. Amendments to Terms
We may update these Terms of Service from time to time. Notifications of any significant changes will be sent via email to the account owner and will also be made available in the app. Continued use of our service after the update will be deemed acceptance of the revised terms.
